These Affiliate Program Terms ("Affiliate Terms") govern your participation in the PuchiDen affiliate program (the "Program"), operated by Mirakuru Europa OÜ ("we", "us", "our"). By applying to join the Program, and by participating in it, you ("you", the "Affiliate") agree to these Affiliate Terms.
The Program is run entirely in-house. There is no third-party affiliate network, tracking vendor, or intermediary between you and us — we track referrals, calculate commissions, and pay you directly. These Affiliate Terms supplement our Terms of Service and Privacy Policy; where they conflict on the subject of the affiliate program, these Affiliate Terms apply.
1. Definitions
- Program — the PuchiDen affiliate program described on these Affiliate Terms and on the affiliate program page.
- Affiliate — a registered PuchiDen user whom we have approved to participate in the Program.
- Referral Link — the unique link we assign to you (of the form
puchiden.app/r/<your-code>/) that identifies visitors you send to us.
- Referred Customer — a person who reaches PuchiDen through your Referral Link and subsequently registers a PuchiDen account attributed to you under §4.
- Qualifying Purchase — a completed credit top-up paid for by a Referred Customer. Full and partial refunds are handled under §6.
- Commission — the amount you earn on a Qualifying Purchase, as set out in §5.
- Approved (Payable) Balance — commissions that have matured and been approved under §6 and are not subject to reversal, less any amounts already paid.
2. Becoming an Affiliate
- Participation is by approval only. There is no public self-signup. To be eligible you must both hold a registered PuchiDen account and have an active website that you own or control through which you will promote PuchiDen. You apply through the affiliate program page.
- We may accept or decline any application at our discretion, and we may set, vary, or withdraw eligibility criteria at any time.
- We review each application. If your application is approved, we will contact you. If you have not heard from us within 7 business days of submitting your application, please consider it not approved.
- Once approved, we issue you a Referral Link and give you access to an affiliate dashboard where you can view clicks, referred sign-ups, commissions, and your progress toward the payout threshold.
- You are responsible for keeping your account, your website, and your payout details accurate and up to date.
3. The Affiliate Relationship
You participate as an independent contractor. Nothing in these Affiliate Terms creates any partnership, joint venture, franchise, agency, or employment relationship between you and us. You have no authority to make any representation, warranty, or commitment on our behalf, and you may not present yourself as doing so.
4. Referral Tracking and Attribution
- When a visitor arrives through your Referral Link, we record the referral server-side against the visitor's browser session only. Consistent with our privacy principles, we do not store the visitor's IP address or user-agent for this purpose, and we set no advertising or cross-site tracking cookie. The referral is treated as strictly-necessary first-party state.
- Attribution is first-touch: if a visitor arrives through more than one Referral Link, the first Affiliate whose link was used within the attribution window is credited.
- The attribution window is 30 days from the recorded click. A referral converts only if the visitor registers a PuchiDen account within that window.
- Because tracking is session-based, a referral may not be recorded if the visitor clears their session, uses a different browser or device, or blocks first-party state. We attribute only referrals our system actually records, and our records are final for this purpose.
5. Commissions
- Commission rate — may be individually agreed. The default commission rate is 10% of the net (tax-excluded) value of each Qualifying Purchase made by your Referred Customers. This 10% is a default, not a fixed term: we may agree a different rate with you individually, and may set or adjust your rate at our discretion under the arrangement we reach with you. Your current rate is always shown on your affiliate dashboard, and the rate used for any given Commission is recorded on that Commission. A change to your rate applies only to Commissions earned after the change takes effect — it does not retroactively alter Commissions already recorded.
- Recurring period — program-wide. Commissions are recurring: you earn on a Referred Customer's Qualifying Purchases for a limited period — currently up to twelve (12) months, measured from the first Commission recorded for that customer — after which no further Commission accrues on that customer. Unlike your commission rate, this period is a program-wide setting, the same for every affiliate and not individually negotiated, though we may change it for the Program under §11.
- Currency and other program-wide settings. All Commissions are calculated and paid in euro (EUR). The currency, the attribution window (§4), the commission maturation period, and the minimum payout threshold (§§6–7) are likewise program-wide settings applied equally to all affiliates; they are not individually negotiated.
- Self-referrals are not permitted. You may not earn Commissions on your own account, on accounts you control, or through purchases you fund, directly or indirectly. We may void any Commission we reasonably believe arises from a self-referral or other abuse.
- We determine in good faith which purchases qualify and the amount of each Commission. The Program applies to PuchiDen credit top-ups only; it does not apply to any charge we identify as a rental fee, tax, or other non-qualifying amount.
6. Commission Approval, Reversals, and Refunds
- A new Commission is recorded as pending. It matures to approved only after 60 days have passed since the underlying purchase. This holding period lets refund and chargeback windows close before a Commission becomes payable.
- If a Qualifying Purchase is refunded in full, charged back, or otherwise reversed, the related Commission is cancelled. If it has not yet been paid, it is removed from your balance; a pending Commission is simply not approved.
- If a Qualifying Purchase is partially refunded, the related Commission is not cancelled: it is recalculated on the part of the purchase the Referred Customer kept, at the rate recorded on that Commission, and keeps its pending or approved status. A partial refund that leaves nothing payable cancels the Commission as under §6.2. Where the Commission has already been paid out, §6.4 applies instead.
- We may withhold, reduce, reverse, or reclaim any Commission that we reasonably believe results from fraud, abuse, a breach of these Affiliate Terms, a mistake, or a transaction that was not genuine — including after it has been approved.
- Only your Approved (Payable) Balance is eligible for payout.
7. Payouts
- Minimum threshold. We pay out only once your Approved (Payable) Balance reaches at least EUR 20. Balances below the threshold roll over to the next payout run. Batching small balances keeps transfer fees and administrative overhead down.
- Payout methods. Payouts are made by PayPal or Payoneer. You choose your method and enter your payout email address and account-holder name yourself, in your affiliate settings. You are responsible for registering for, and keeping in good standing, a valid account with the provider you choose that is able to receive payments — we do not open, verify, or manage that account for you. We can only pay out once valid payout details are on file and a working account exists to receive them.
- You are responsible for providing correct payout details. We are not liable for payouts delayed, lost, or misdirected because of details you entered incorrectly.
- Commissions are gross of any tax. You are solely responsible for reporting and paying any income, VAT, or other taxes due on your Commissions in your own jurisdiction, and for any tax registration or invoicing this requires.
- We may set, change, and batch payout runs, and may reasonably delay or withhold a payout while we investigate suspected fraud or a breach of these Affiliate Terms.
8. Affiliate Responsibilities and Prohibited Practices
You agree to promote PuchiDen honestly and lawfully. In particular, you MUST NOT:
- Send unsolicited email or messages ("spam"), or promote PuchiDen in any way that breaches applicable anti-spam, advertising, consumer-protection, or data-protection laws.
- Bid on, or use in paid search or advertising, our brand names, trademarks, or close variants or misspellings of them, or register domain names that incorporate them.
- Use bots, click farms, incentivised or misleading traffic, cookie-stuffing, iframes, or any other deceptive method to generate clicks, sign-ups, or purchases.
- Make false, misleading, or exaggerated claims about PuchiDen (for example about pricing, savings, features, or earnings), or disparage the service.
- Place your Referral Link on, or promote it through, content that is unlawful, adult, hateful, harassing, deceptive, or that infringes anyone's rights.
- Represent that you are PuchiDen or Mirakuru Europa OÜ, or offer support, refunds, or commitments on our behalf. Referred Customers are our customers; we handle their service, billing, and refunds.
- Attempt self-referrals or otherwise game the Program as described in §5.4.
Where the law requires you to disclose a paid or affiliate relationship (for example a clear "affiliate" or "sponsored" disclosure), you must do so.
9. Intellectual Property and Use of Our Brand
We grant you a limited, non-exclusive, revocable, non-transferable licence to use your Referral Link and the PuchiDen name and marks solely to promote the service in line with these Affiliate Terms and any brand guidance we provide. All PuchiDen names, logos, and marks remain our property (or that of our partners). Any other use requires our prior written permission. This licence ends automatically when your participation in the Program ends.
10. Term and Termination
- Your participation begins when we approve you and continues until terminated.
- Either party may end participation at any time, for any reason, on notice (email is sufficient).
- We may suspend or terminate your participation immediately, and withhold or reverse unpaid Commissions, if we reasonably believe you have breached these Affiliate Terms, engaged in fraud or abuse, or brought the service into disrepute.
- On termination for your breach or for fraud/abuse, any unpaid Commissions may be forfeited. On termination for other reasons, we will pay out any Approved (Payable) Balance that meets the minimum threshold in the normal way.
- Sections that by their nature should survive termination (including §§3, 6, 8, 9, 11, 12, and 13) survive.
11. Changes to the Program and These Terms
The Program is a discretionary marketing arrangement. We may change the commission rate, the recurring period, the attribution window, the payout threshold or methods, eligibility, or any other aspect of the Program, and we may modify or discontinue the Program or these Affiliate Terms, at any time. We will publish the current version on this page. Changes apply from the date they are posted; your continued participation after that means you accept the revised Affiliate Terms. Changes do not retroactively remove Commissions you have already earned and had approved.
12. Disclaimers and Limitation of Liability
The Program is provided "as is". We make no guarantee of any particular earnings, traffic, conversion, or result. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, or for lost profits or opportunities, arising from the Program. Nothing in these Affiliate Terms limits any liability that cannot be limited under applicable law.
13. Governing Law and Disputes
These Affiliate Terms are governed by the laws of Estonia, without regard to conflict-of-laws rules, and subject to any mandatory consumer-protection rights you may have where you live. The courts of Estonia have jurisdiction over any dispute arising from the Program, subject to those mandatory rights.
